Principles of co-operation

of SOCIUS eG and its subsidiary SOCIUS Organisationsberatung gGmbH (General Terms and Conditions)

The following applies to process support, counselling, supervision, mediation and coaching

  • counselling system: When providing support during a change process, for in-house training courses, etc., we work as a team where possible, but we are also happy to work as individuals. In addition to the SOCIUS eG consultants, we sometimes also bring in other experts as subcontractors for the teams. These are subject to the same professional obligations.
  • Duty of confidentiality: We undertake to treat all processes and matters relating to a project as confidential. Third parties will not be informed by us or by the persons working for us on a project. The documents provided to us will be returned upon request at the end of the consulting process. We reserve the right to discuss our work in the context of case supervision/case coaching and peer counselling for the purpose of quality assurance. Colleagues, supervisors and coaches are subject to a duty of confidentiality.
  • Fee: Our fee is based on the time required for the project (fee per consultant per day or hour) and is agreed between the responsible parties. A day of counselling generally comprises eight hours.
  • Preparation and follow-up times for the counsellors: These times are generally invoiced at a rate of ½ day per day of counselling: Follow-up may also include photo documentation by arrangement.
  • Value added tax: Due to the non-profit status of SOCIUS Organisationsberatung gGmbH, a VAT of 7% is charged for in-house training events. For consultations, on the other hand, all our fees are subject to the statutory VAT of currently 19%. 
  • Payment: Invoicing takes place after the respective execution of the activity specified in the work agreement, usually quarterly in the case of longer processes. Our invoices must be paid within 14 days.
  • Travelling expenses: If travelling times are required for project processing that affect entire working days, they shall be charged at half a daily rate (plus VAT). The travel expenses incurred by the Consultant shall be invoiced to the Client, whereby the choice of means of transport shall be made in the interests of the Client after optimising cost and time criteria (own car €0.30/km; 2nd class rail travel with BahnCard if available to the Consultant; flight, rental car, taxi and other public transport upon receipt). If travel costs are incurred jointly for consulting projects of different clients (round trip), they shall be divided equally.
    The expenses incurred by the consultants are invoiced according to standard tax rates or receipts. If air travel is necessary, we purchase CO2 compensation certificates, which we invoice additionally.
  • Additional effort: Work and training materials will only be charged separately after consultation with the client.
  • cancellation costs: Time and deadlines are important factors for us. We want to be able to plan with our clients for the long term; it is often very difficult to find alternative dates that can be cancelled at short notice. If a scheduled project or work step is cancelled, we must therefore charge the following: 
  • We reserve the right to charge the following for appointments postponed or cancelled by the client:
  • Postponement of the appointment up to 4 weeks before the agreed date: 20% of the fee.
  • Cancellation of the appointment up to 4 weeks before the agreed date 50 % of the fee
  • Cancellation of the appointment up to 1 week before the agreed date 100% of the fee.
  • For cancellations due to illness or other reasons within our area of responsibility, we will either try to provide a replacement or find a new date as soon as possible.

The following applies to events and training courses organised by SOCIUS Organisationsberatung gGmbH

  • Registration: Registration must be made in writing, either via the registration system on our website or by e-mail. The contractual partner of SOCIUS is the registrant, even in the case of a declaration of assumption of costs by a third party. All registrations received by post or electronically (including the electronic registration form) are binding and reserve a place at the respective event. Registrations will be considered in the order in which they are received. If participation is not possible due to oversubscription, the participant will be notified immediately.
  • Participation fee: The participation fee is per person and includes drinks, snacks and possibly event documents. The amount is

exempt from VAT in accordance with § 4 No. 22a UStG. The costs of accommodation and catering as well as travel to and from the event shall be borne separately by the participants themselves. The participation fee is due at least 4 weeks before the event, unless otherwise agreed.

  • Resignation: Cancellations must be made in writing and are free of charge up to two months before the event. Thereafter, we must retain a processing fee of 200 euros. In the event of cancellation later than four weeks before the event, we can only refund 50% of the participation costs, unless another suitable person is named as a replacement. In the event of cancellation less than two weeks before the event, we reserve the right to retain 100% of the participation fee. If participation is cancelled during the training or seminar, a refund of the participation fee is not possible. If parts of the event cannot be attended due to illness or force majeure, we will endeavour to arrange for the content to be taught elsewhere.
  • Postponement or cancellation: In the event that an event has to be postponed or cancelled due to an insufficient number of participants, those registered will receive written notification. In the event of cancellation or postponement, any participation fees already paid will be refunded. Participants shall have no further claims.
  • Evolution: In individual cases, programme items may have to be changed for important reasons. There is no obligation to carry out the announced programme exactly as long as the character of the event is not completely changed.
  • Confidentiality: At our events, we work a lot with the personal experiences of the participants in their organisations. Confidentiality must be ensured here. This obliges not only us as organisers, but also all participants, to maintain confidentiality about what they learn about other organisations in training courses.
  • Educational leave: The events organised by SOCIUS Organisationsberatung gGmbH are generally recognised as educational events (educational leave/educational time) in accordance with § 10 BiZeitG.
  • Personal responsibility: Each participant:in is responsible for his/her own actions inside and outside the training programme. Participants are expected to have basic mental stability.
  • Image and film material: SOCIUS events may be photographed and filmed by us. By registering, the participant declares his/her consent to the publication of photos and film recordings. Forms with the declaration of consent for our privacy policy will be available for signature at the respective event.
  • Liability: The liability of SOCIUS Organisationsberatung gGmbH towards the participants is limited to intent and gross negligence. No liability is accepted for the loss of valuables and clothing at the event venue. 

Public relations: Upon conclusion of the cooperation, the client allows SOCIUS Organisationsberatung gGmbH and SOCIUS eG to use its logo on the SOCIUS website and to refer to the cooperation. 

Termination of the co-operation: Should reasons arise before the agreed conclusion of the cooperation that suggest a premature termination of the cooperation (cancellation), both parties undertake to hold a clarifying final discussion in advance.

Values and self-image: These General Terms and Conditions must always be read in the light of our values and our self-image and will be interpreted accordingly by us.

Deviations to these principles must be made in writing.

Severability clause: Should individual provisions be invalid or unenforceable or prove to be invalid or unenforceable, this shall not affect the validity of the other General Terms and Conditions.
